Model Constitution
Issued by the Council of
Y. M. H. and Kindred Ass'ns
ARTICLE 1.
NAME.
The name of this organization shall be the YOUNG MEN'S
HEBREW ASSOCIATION OF .........................
ARTICLE II.
PURPOSE.
The purpose of this organization shall be to improve
the moral, mental and physical welfare of its members, to help in every
way possible
the Jewish community of ..............., and
to endeavor to bring that Jewish community into harmony and union.
ARTICLE III.
MEMBERSHIP.
Section 1. There shall be two classes of members in
this association: a—Senior members; b—Junior members. |

A. Any Israelite of the age of 18 or over, shall be
eligible for Senior membership.
1. There shall be two classes of senior members:
a—Active; b—Participating.
NOTE:—Participating membership is made up
generally of non-resident members, donors, honorary members, etc.
B. Any Israelite, 13 years old and less than 18 years
old, shall be eligible for Junior membership.
NOTE:—The Juniors may be organized into a
self-governing body and called the "Junior Y. M. H, A." They should
govern themselves subject to the rules of the General Association and of
the Board of Directors of the Association and the provisions of the
Constitution and the By-Laws.
Sec.. 2.
A. The dues for Senior members shall be
$..........per year, payable
B. The dues for Junior members shall be
$.............. per year, payable
NOTE:—Each association must adapt both the amount and
method of payment of its dues to the financial circumstances of the
members. Certain associations collect the year's dues in advance.
Others, have dues paid quarterly; others, monthly; and some, in the
industrial towns, for example, find that the best method is to collect
dues at the rate of ten cents per week.
Sec. 3. Honorary membership may be bestowed by the
Board of Directors, or by the Association in General Assembly. Such Hon-

members shall be free from dues and shall have all the privileges of
senior members, except the right to vote and the right to hold office.
Sec. 4. All applications for membership shall be presented to the
Secretary of the Association, who shall refer them to the Membership
Committee. The Membership Committee shall report to the Board of
Directors (or the Association in General Assembly, see section on Board
of Directors) at any of the regular or special meetings, concerning the
character and qualifications of all candidates for membership. At an
election, two-thirds of the number of votes cast shall be necessary to
elect a candidate to membership.
Sec. 5. Any member who shall willfully infringe upon or violate any
provisions of this Constitution or these By-Laws, or the regulations of
this Association, or who shall be guilty of any offense against the
welfare or good government of this Association, may, after due notice,
and a hearing before the Board of Directors, (or the Association in
General Assembly), be suspended or expelled by a two-thirds vote of the
members present.
Sec. 6. A member shall be delinquent if his dues be unpaid at the end
of the time (see above) for which they accrue. A delinquent member's
membership expires with the beginning of his delinquency. Delinquents,

notification and after a sufficient period of grace for payment of
arrears have been granted them, shall be suspended from all privileges
of active membership, until such time as by payment of amount due, they
shall become again members in good standing. NOTE:—Each association
should instal as part of its organization equipment a
"triple-notification'" -system—except those associations that have dues
collected weekly. One notice sent to members, enclosing bill, notifying
members that dues are due-a certain date hence. A second notice, sent
when dues fall due; and a third, when member is already delinquent,
advising member that his membership has expired and that he may come
into good standing again by payment of dues. Such a system has value in
keeping the financial secretary awake to his responsibilities and
keeping members informed concerning their financial obligations.
Sec. 7. Membership dues shall continue to run during suspension, but
no member who has been suspended shall enjoy any of the privileges of
the Association, or enter the quarters of the Association, except for
the purpose of paying his indebtedness.
ARTICLE IV.
MEETINGS.
Section 1. The regular meetings of this Association shall be held the
first..........of each month.
NOTE:—Large associations, governed by a Board of Directors, need meet
but once a year, generally in January, or for election for Board of
Directors. |

Sec. 2.
Special meetings may be called at ;my time by the President, at the
request of the Hoard of Directors, or at the written request of at
least........members setting forth the purpose of such a special
meeting. Sec. 3. Five days' notice shall be given senior members of
the date set for a regular meeting; three days' notice shall be given
senior members of the date set for a special meeting.
Sec. 4.......... senior members in good
standing shall constitute a quorum for the transaction of business at
any regular or special meeting-Sue. 5. The Board of Directors shall hold
regular meetings at least once a month. Special meetings may be called
by the President on his motion, and shall be called upon the written
request of five members of the Board, directors shall constitute a
quorum at Board of Directors' meetings.
ARTICLE V.
OFFICERS.

a. A Board of Directors of ..... members.

c. A First Vice-President.
d. A Second Vice-President.

NOTE:—The number on the
Board of Directors shall be proportioned to the number of active members
in the Association. ARTICLE VI.
METHOD OF ELECTION OF OFFICERS.
Section 1. Nominations for positions on the Board of Directors shall
be made by a nominating committee made up of five senior members and
appointed by the President, or president pro tem, for the first
election. After the first election, nominations shall be made by a
committee of the Board of Directors.
Sec. 2. Nominations may be made from the floor on the day of
election.
Sec. 3. Only senior members over 21 years of age shall be eligible
for nomination for a position on the Board of Directors.
Sec. 4. The ...... men receiving the highest votes shall constitute
the Board of Directors for the ensuing year.
Sec. 5. The Board of Directors, at the first meeting after their
election, shall choose from among their number the President, First
Vice-President, Second Vice-President, Secretary and Treasurer of the
Association for the ensuing year.
NOTE:—Associations having a membership under one hundred, should
govern themselves in direct assembly. For them, the President, First
Vice-President, Second Vice-President, Secretary and Treasurer should be
elected in a meeting held in April or May of each year. |

Sec. 6. All elections shall
be decided by enclosed ballot. Sec. 7. The nomination of members for
election to the Board of Directors shall be made by a majority vote of
the nominating committee and the names of the nominees shall be posted
on the bulletin board at least 30 days prior to the date of election.
The nominating committee shall consist of all the members of the Board
of Directors, excepting those members whose terms of office are next to
expire. For the purpose of electing the first Board of Directors of this
Association, a nominating committee of
........ senior members shall be appointed by
the temporary President, who shall report their recommendations for
nominees and post the same on the bulletin board at least 15 days before
the date of election. Nominations may also be made from the floor on the
day of election.
Sec. 8. Should any member of the Board of Directors absent himself
from two successive meetings, without reasonable excuse, the Board may
declare his seat vacant.
Sec. 9. No person shall be eligible for election to the Board of
Directors unless he is over 21 years of age.

regular or special meeting
of the Association, and shall be considered finally at another meeting
of the Association held thirty days later. An affirmative vote of at
least two-thirds of the members present shall be necessary for passing
any amendment to this Constitution.
ARTICLE I.
DUTIES AND POWERS OF THE OFFICERS.
Section 1. It shall be the duty of the President, or, in his absence,
of either of the Vice-Presidents, to preside at all meetings of the
Association and Board of Directors.
Sec. 2. The Recording Secretary shall, under the instruction of the
President or Board of Directors, be the medium of the Association in its
communications with other organizations and with the public. He shall
keep copies of all the letters written by him, and files of those
received by him, relating to the affairs of the Association. He shall
also keep a proper record of the proceedings of the Association, the
minutes of its meetings and of the meetings of the Board of Directors,
and shall notify members of general and special meetings, and shall have
charge of all the records of the Association.
Sec. 3. The Treasurer (Financial Secretary) shall keep a complete
register of the members and their financial accounts with the

the Association (or Board
of Directors) or whenever called upon to do so by the President. He
shall keep a full and correct account of his transactions, and report to
the Board of Directors or to the Association, in writing, at each
meeting. He shall give a bond in a sum not less than $...... to be fixed
by the Executive Committee, for the faithful performance of his duties,
and such bond is to be approved by said committee. It shall be his duty
to take charge of all the securities and valuable papers of the
Association, and deposit the same in the name of the Association in a
safe deposit company, access to which shall be had only by the
Treasurer, the Chairman of the Finance Committee, the President and
either of the Vice-Presidents, in the presence of any two of them. He
shall register in the name of the Association all bonds that may be
purchased by the Association or acquired by gift or bequest. Sec. 4.
The Board of Directors, in addition to the powers and duties mentioned
in this Constitution and By-Laws, shall have the power, from time to
time, to make and adopt such rules and by-laws for their government, and
the government of the Association, as are not inconsistent with this
Constitution or By-Laws of the Association.
Sec. 5. In case of any vacancy occurring in the Board of Directors,
it shall have the power to fill the same until the next annual election. |

ARTICLE II.
STANDING COMMITTEES.
Section 1. The Chairmen of the following Standing Committees shall be
appointed by the ('resident from among the members of the Board of
Directors (or from the senior members of the Association, when the
Association has no Board of Directors), as soon as possible after his
election:
1. Committee on Membership.
2. Committee on Finance.
3.
Committee on Entertainments.
4. House Committee.
5. Employment Committee.
6. Library
Committee.
7. Educational Committee.
8. Committee on Press and Publicity.
9. Committee on Religious Work.
10. Committee on Social Service.
11. Committee on Law.
12. Committee on Athletics.
Sec. 2. The Chairman of each standing committee shall have the power
of appointing the necessary members of his committee from among the
senior members of the Association.
Sec. 3. Additional committees may be appointed at any time at the
discretion of the Board of Directors (Association). |

Sec. 4. The several
committees shall meet at least once a month and keep records of their
proceedings, and present report in writing through their chairmen to the
Association (Board of Directors) at each regular meeting. Sec. 5. No
committee shall contract any indebtedness, or incur any liabilities,
unless duly authorized by the Board of Directors (Association). All
committees shall act subject to the approval of the Association (Board
of Directors).
ARTICLE III.
DUTIES OF COMMITTEES.
Section 1. The committee on Membership shall examine into all
applications for membership, and report their recommendations at any
regular or special meeting of the Association (Board of Directors).
Sec. 2. All bills must be approved, before payment, by the
Superintendent or General Secretary (small associations, by the
President). When so approved, the Superintendent must have the bills
approved without delay by the Chairman of the Committee authorized to
make the expenditure. Thereupon checks shall be drawn and together with
the bills shall be submitted to the Chairman of the Finance Committee
and then to the Treasurer, both of whom shall sign the checks. In the

the Treasurer or Chairman
of the Finance Committee, the President or either of the
Vice-Presidents, in order, shall be authorized to sign instead. Sec.
3. The Finance Committee shall supervise all financial affairs of the
Association. They shall keep the properties of the Association properly
insured. They shall have full charge of renting any property of the
Association, bin shall not execute any leases.
Sec. 4. The Mouse Committee shall have charge of the Association's
building or rooms, and shall establish rules and regulations for the
government thereof.
Sec. 5. The Entertainment Committee shall provide for the giving of
musical, literary and social entertainments, and make all the necessary
arrangements therefore. The Committee shall have charge of those rooms
set aside for distinctly social purposes.
Sec. 6. The Committee on Employment shall organize and have charge of
the Employment Bureau of the Association and shall keep a book-in which
shall be recorded the names of all applying for employment and also a
record of those seeking employees, the record to be kept open at all
times for inspection.
Sec. 7. The Committee on Library shall have charge of and provide

preservation, and increase
of the library. No publication shall be admitted to the Library or
Reading Room unless approved by it. Sec. 8. The Educational Committee
shall have charge of all public lectures given at the Association; of
all classes and clubs, other than merely social clubs, of the
Association.
Sec. 9. The Committee on Religious Work shall organize and have
charge of the Religious Work of the Association.
Sec. 10. The Committee on Supplies shall supervise the purchase of
supplies and printing not coming under the direction of the regular
committees.
Sec. 11. The Committee on Law shall have charge of all legal matters
affecting the Association and shall from time to time make revisions to
the By-Laws and submit same to the Board fur action. No proposed change
of the By-Laws shall be deemed regular until it has first been reported
on in writing by the Committee.
Sec. 12. The Committee on Social Service shall have charge of all
work connected with the Social Service of the Association.
Sec. 13. Committee on Athletics shall have charge of the athletic
department.
ARTICLE IV.
Section 1. There shall be three Inspectors of 'Elections, who shall
supervise the election of members to the Hoard of Directors. |

ARTICLE V.
ORDER OF BUSINESS FOR THE BOARD OF DIRECTORS.
Section 1. a. Roll Call; b. reading of the minutes; c. Communications
from the chair; d. Reports of Standing Committees; e. Election of
members; f. Reports by Special Committees; g. Old Business; h. New and
miscellaneous business.
Sec. 2. Cushing's Manual (or Robert's Rules of Order) shall be the
standard of authority controlling the parliamentary actions of the Board
and of the Association.
AMENDMENTS TO BY-LAWS.
Sec. 3. These By-Laws may be altered or amended by a vote of
two-thirds of the members present at a meeting of the Association (or
Board of Directors).
